1. Taraflar ve Kapsam

İşbu Kullanım Koşulları, U2 AI Studio Teknoloji Anonim Şirketi ("U2 AI Studio", "biz") ile U2 AI Carbon platformunu ("Platform", "Hizmet") kullanan kişi veya tüzel kişi ("Kullanıcı") arasında akdedilmiştir. Platforma erişen ve/veya hesap oluşturan her kullanıcı, bu koşulları kabul etmiş sayılır.

2. Hizmet Tanımı

U2 AI Carbon, kurumsal sera gazı emisyonu hesaplama, raporlama ve yönetim hizmeti sunan bulut tabanlı bir SaaS (Yazılım Hizmeti) platformudur. Platform; GHG Protocol Corporate Standard, ISO 14064-1, AB SKDM (CBAM) ve KVKK/GDPR uyumlu süreçler için tasarlanmıştır.

3. Hesap Oluşturma ve Kullanıcı Sorumluluğu

• Kullanıcı, kayıt sırasında doğru, güncel ve eksiksiz bilgi vermekle yükümlüdür.
• Hesap kimlik bilgilerinin (firma kodu, e-posta, şifre) gizliliğinden Kullanıcı sorumludur. Yetkisiz kullanım Kullanıcı'ya aittir.
• Kurumsal hesaplarda yöneticiye verilen tüm hak ve yükümlülükler şirketi temsile yetkili olduğunu beyan eden kişi tarafından yerine getirilir.
• U2 AI Studio, sahte/hatalı bilgilerle açıldığı tespit edilen hesapları derhal askıya alma hakkını saklı tutar.

4. Kullanım Kuralları ve Yasaklar

Platform aşağıdaki amaçlarla kullanılamaz:

• Yürürlükteki mevzuata, kamu düzenine veya genel ahlaka aykırı faaliyetler
• Üçüncü kişilerin fikri mülkiyet, gizlilik veya kişilik haklarını ihlal eden içerik yükleme
• Kötü amaçlı yazılım, otomatik script, veri kazıma (scraping) veya tersine mühendislik girişimleri
• Sahte emisyon verisi yükleme veya raporlamada yanıltıcı beyan oluşturma
• Platformun teknik altyapısına yönelik DDoS, brute force veya benzeri saldırılar

İhlal halinde U2 AI Studio hesabı uyarısız olarak askıya alma veya sonlandırma hakkına sahiptir.

5. Fikri Mülkiyet

• Platform yazılımı, kaynak kodu, marka, logo ve tasarım U2 AI Studio'ya aittir; hiçbir biçimde kopyalanamaz, değiştirilemez veya yeniden dağıtılamaz.
• Kullanıcının Platforma yüklediği veriler ("Kullanıcı Verisi") Kullanıcı'nın mülkiyetindedir. U2 AI Studio, hizmeti sunmak için gerekli olan asgari işleme yetkisine sahiptir.
• Platform tarafından üretilen raporlar (PDF/XLSX) Kullanıcı'nın kullanımına sunulur; ancak rapor şablonları üzerindeki haklar U2 AI Studio'ya aittir.

6. Abonelik ve Ödeme Koşulları

• Ödemeler ABD doları üzerinden faturalanır; TL tahsilatlarında o günkü TCMB efektif satış kuru uygulanır.
• Aboneliğiniz otomatik olarak yenilenir. Yenileme öncesinde e-posta ile bilgilendirme yapılır.
• İlk fatura tarihi itibarıyla 14 gün içinde iade hakkı (cayma hakkı) saklıdır.
• Vadesi geçen ödemelerde Platform, ücretsiz plana düşürülür veya askıya alınır; veriler 90 gün boyunca saklanır.

7. Hizmet Seviyesi (SLA)

• Pro ve Enterprise planlarında %99,5 aylık erişilebilirlik hedeflenir.
• Planlı bakımlar en az 48 saat öncesinden e-posta ile duyurulur.
• Kritik güvenlik yamaları planlı duyuru olmadan uygulanabilir.
• Veri yedekleri günlük olarak alınır; felaket kurtarma RPO ≤ 24 saat, RTO ≤ 8 saat.

8. Sorumluluk Sınırlaması

• Platform "olduğu gibi" sunulur; emisyon hesaplamaları girdi verilerinin doğruluğuna bağlıdır.
• U2 AI Studio, doğrulayıcı veya akredite kuruluş değildir. Üretilen raporlar üçüncü taraf doğrulaması (3rd-party verification) yerine geçmez.
• U2 AI Studio'nun toplam sorumluluğu, ilgili olayın gerçekleştiği son 12 ay içinde Kullanıcı tarafından ödenen ücreti aşamaz.
• Dolaylı, sonuçsal veya cezai zararlardan U2 AI Studio sorumlu değildir.

9. Veri Sahipliği ve Taşınabilirlik

Kullanıcı verisi her zaman Kullanıcı'ya aittir. Hesap aktif olduğu sürece Ayarlar → Verilerimi Dışa Aktar bölümünden tüm veriler JSON/XLSX formatında indirilebilir. Hesap sonlandırıldıktan sonra veriler 30 gün içinde silinir; yasal saklama yükümlülüğü olan kayıtlar (ödeme kayıtları vb.) ilgili mevzuatın öngördüğü süre boyunca tutulur.

10. Fesih

• Kullanıcı, dilediği zaman Ayarlar → Hesabımı Kapat üzerinden hesabını sonlandırabilir.
• U2 AI Studio, Madde 4'teki ihlaller veya 60 gün üst üste ödeme yapılmaması durumunda hesabı sonlandırabilir.
• Fesih sonrası ücret iadesi yapılmaz; cayma hakkı süresi (14 gün) hariç.

11. Değişiklikler

İşbu Kullanım Koşulları, U2 AI Studio tarafından tek taraflı olarak güncellenebilir. Önemli değişiklikler 30 gün öncesinden e-posta ile bildirilir. Değişiklik sonrası Platform'un kullanımı yeni koşulların kabulü anlamına gelir.

12. Uygulanacak Hukuk ve Yetkili Mahkeme

İşbu Kullanım Koşulları Türkiye Cumhuriyeti kanunlarına tabidir. Doğacak uyuşmazlıklarda Ankara Mahkemeleri ve İcra Daireleri münhasıran yetkilidir. Uluslararası kullanıcılar için CISG (Viyana Sözleşmesi) hükümleri açıkça uygulanmaz.

1. Parties and Scope

These Terms of Use are entered into between U2 AI Studio Teknoloji Anonim Şirketi ("U2 AI Studio", "we") and any natural or legal person ("User") using the U2 AI Carbon platform ("Platform", "Service"). Any user who accesses the Platform and/or creates an account is deemed to have accepted these terms.

2. Description of the Service

U2 AI Carbon is a cloud-based SaaS (Software as a Service) platform providing corporate greenhouse gas emission calculation, reporting and management services. The Platform is designed for processes compliant with the GHG Protocol Corporate Standard, ISO 14064-1, the EU Carbon Border Adjustment Mechanism (CBAM) and the Turkish Personal Data Protection Law No. 6698 (KVKK) / GDPR.

3. Account Creation and User Responsibility

• The User is obliged to provide accurate, current and complete information during registration.
• The User is responsible for the confidentiality of account credentials (company code, e-mail, password). Any unauthorized use is the User's responsibility.
• For corporate accounts, all rights and obligations granted to the administrator shall be exercised by a person who declares that they are authorized to represent the company.
• U2 AI Studio reserves the right to immediately suspend any account found to have been created with false or inaccurate information.

4. Acceptable Use and Prohibited Conduct

The Platform may not be used for the following purposes:

• Activities contrary to applicable legislation, public order or public morality
• Uploading content that infringes the intellectual property, privacy or personal rights of third parties
• Malware, automated scripts, data scraping or reverse engineering attempts
• Uploading false emission data or creating misleading statements in reporting
• DDoS, brute force or similar attacks against the Platform's technical infrastructure

In the event of a violation, U2 AI Studio has the right to suspend or terminate the account without prior notice.

5. Intellectual Property

• The Platform software, source code, trademarks, logos and designs belong to U2 AI Studio; they may not be copied, modified or redistributed in any form.
• Data uploaded to the Platform by the User ("User Data") remains the property of the User. U2 AI Studio holds only the minimum processing rights necessary to provide the service.
• Reports generated by the Platform (PDF/XLSX) are made available for the User's use; however, the rights to the report templates belong to U2 AI Studio.

6. Subscription and Payment Terms

• Payments are invoiced in US dollars; for collections in Turkish lira, the effective selling rate of the Central Bank of the Republic of Türkiye (TCMB) on the relevant day applies.
• Your subscription renews automatically. You will be notified by e-mail prior to renewal.
• A right of refund (right of withdrawal) applies within 14 days of the first invoice date.
• In case of overdue payments, the Platform is downgraded to the free plan or suspended; data is retained for 90 days.

7. Service Level (SLA)

• A monthly availability of 99.5% is targeted for the Pro and Enterprise plans.
• Scheduled maintenance is announced by e-mail at least 48 hours in advance.
• Critical security patches may be applied without prior announcement.
• Data backups are taken daily; disaster recovery RPO ≤ 24 hours, RTO ≤ 8 hours.

8. Limitation of Liability

• The Platform is provided "as is"; emission calculations depend on the accuracy of the input data.
• U2 AI Studio is not a verifier or an accredited body. Reports generated do not substitute for third-party verification.
• U2 AI Studio's total liability shall not exceed the fees paid by the User within the 12 months preceding the event giving rise to the claim.
• U2 AI Studio shall not be liable for indirect, consequential or punitive damages.

9. Data Ownership and Portability

User data belongs to the User at all times. As long as the account is active, all data can be downloaded in JSON/XLSX format via Settings → Export My Data. After the account is terminated, data is deleted within 30 days; records subject to statutory retention obligations (payment records, etc.) are retained for the period prescribed by the applicable legislation.

10. Termination

• The User may terminate their account at any time via Settings → Close My Account.
• U2 AI Studio may terminate the account in the event of violations under Section 4 or non-payment for 60 consecutive days.
• No fees are refunded upon termination, except within the withdrawal period (14 days).

11. Amendments

These Terms of Use may be updated unilaterally by U2 AI Studio. Material changes will be notified by e-mail 30 days in advance. Continued use of the Platform after a change constitutes acceptance of the new terms.

12. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Ankara shall have exclusive jurisdiction over any disputes arising hereunder. For international users, the provisions of the CISG (Vienna Convention) are expressly excluded.
